  1. Introduction and Acceptance of Terms

Welcome to the AdTik website, located at https://adtik.co/ (the "Site"). This Site is owned and operated by AdTik, LLC ("AdTik," "we," "us," or "our"), an Arizona Limited Liability Company. These Terms and Conditions ("Terms") govern your access to and use of the Site and its content, features, and services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE. By accessing or using the Site, you agree to be bound by these Terms and our Website Privacy Policy (available at https://adtik.co/privacy), which is incorporated herein by reference. If you do not agree to all of these Terms, do not access or use the Site.  

  1. Modifications to Terms

AdTik reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, typically by posting the updated Terms on the Site and updating the "Effective Date" at the top. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms.  

  1. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

  • In any way that violates any applicable federal, state, local, or international law or regulation.  
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.  
  • To impersonate or attempt to impersonate AdTik, an AdTik employee, another user, or any other person or entity.  
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm AdTik or users of the Site or expose them to liability.  
  • To use any automated device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site, without our prior written consent.  
  • To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.  
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.  
  • Otherwise attempt to interfere with the proper working of the Site.  
  1. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, the AdTik logo, and the design, selection, and arrangement thereof) are owned by AdTik, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.  

These Terms permit you to use the Site for your personal, non-commercial use only, or for legitimate business purposes related to your potential or actual role as a client or partner of AdTik. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:  

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.  
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use or for legitimate business purposes related to AdTik, and not for further reproduction, publication, or distribution.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL ADTIK, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.  

  1. Indemnification

You agree to defend, indemnify, and hold harmless AdTik, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Site.  

  1. Links to Third-Party Websites

The Site may contain links to third-party websites or services that are not owned or controlled by AdTik. AdTik has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that AdTik shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Your use of the Site is also subject to AdTik's Website Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices, available at https://adtik.co/privacy.  

  1. Termination of Access

AdTik reserves the right, in its sole discretion, to terminate or suspend your access to all or part of the Site, with or without notice, for any reason, including without limitation, any violation of these Terms.  

  1. Governing Law

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Arizona without giving effect to any choice or conflict of law provision or rule.  

  1. Dispute Resolution

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be settled by binding arbitration in Phoenix, Arizona in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitrator(s) shall be selected in accordance with the procedures of the AAA. The award rendered by the arbitrator(s) shall be final and binding, and judgment may be entered upon it in any court having jurisdiction thereof.  

  1. Waiver and Severability

No waiver by AdTik of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AdTik to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.  

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.  

  1. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and AdTik regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
